These Terms of Service (the "Terms") set out the conditions for those who use "LC Studio", the creator application provided by LinClone K.K. (the "Company"), to create their own AI clone and publish it in "LinClone", the application for followers. Anyone using LC Studio must agree to these Terms before using it.

Article 1 (Definitions)

The terms used in these Terms have the following meanings.

  1. "Creator" means an individual, agency or corporation that has agreed to these Terms and registered with LC Studio.
  2. "Principal" means the individual whose voice, appearance, name and the like are the basis of the AI Clone. Where a Creator registers personally as an individual, the Creator and the Principal are the same person.
  3. "LC Studio" means the application provided by the Company for creating and configuring AI Clones, checking Earnings and the like.
  4. "Fan App" means "LinClone", the application for followers provided by the Company.
  5. "Follower" means a user of the Fan App.
  6. "AI Clone" means an interactive AI modelled on the Principal, built by the Company with generative AI technology from the Principal's Materials.
  7. "Materials" means the Principal's voice (including audio files and recordings of the AI interview), photos and videos, name or stage name, and profile, provided by the Creator in LC Studio to create and operate the AI Clone.
  8. "Voice Model" means the data created from the Principal's voice to synthesise the AI Clone's voice.
  9. "AI Output" means text, audio, images and other content generated by the AI Clone.
  10. "Paid Coins", "Free Coins" and "LIVE Tickets" have the meanings given in the Fan App's terms of use.
  11. "Earnings" means the amounts the Company pays the Creator under Article 14.
  12. "Service" means LC Studio, the Fan App and the services the Company provides in connection with them.

Article 2 (Agreement to and Application of these Terms)

  1. These Terms apply to every relationship between the Company and the Creator concerning the use of LC Studio and the publication of AI Clones.
  2. When the Creator agrees to these Terms in the prescribed registration procedure, a contract on the terms of these Terms (the "Contract") is formed with the Company.
  3. The details of the Earnings calculation, payment methods, guidelines and other individual provisions that the Company posts in LC Studio form part of these Terms. Where these Terms and an individual provision differ, these Terms prevail. A change to the Earnings rate or calculation method that is disadvantageous to the Creator follows the procedure in Article 26, even when it is a change to an individual provision.
  4. The personal information of Creators, Principals and staff of agencies and the like is handled in accordance with the LC Studio Privacy Policy (for Creators).

Article 3 (Eligibility and Contracting Party)

  1. Individuals, agencies and corporations may all register as Creators, whatever their country of residence.
  2. Where an agency or corporation registers, it confirms, with a checkbox on the registration screen, that it has obtained the Principal's consent to the creation and publication of the AI Clone under these Terms. The Creator is responsible for having obtained that consent.
  3. Where the Principal is under 18, the Creator confirms, with a checkbox on the registration screen, that the consent of a parent or guardian (legal representative) has been obtained. Earnings relating to a Principal under 18 are received with the consent of the parent or guardian.
  4. The person carrying out the registration procedure has the authority to agree to these Terms on behalf of the Creator.
  5. If the Principal tells the Company that they have not consented, or that they withdraw their consent, the Company may stop publishing the AI Clone. After confirming that the person making the inquiry is the Principal or their representative, the Company may tell the Principal the registrant's name and the date of registration.

Article 4 (Application, Review and Clone Creation Fee)

  1. A Creator holding an invitation code issued by the Company does not need to go through review or pay the clone creation fee.
  2. A Creator without an invitation code can create an AI Clone after applying in LC Studio, being approved in the Company's review, and paying the clone creation fee.
  3. The clone creation fee is 100,000 yen (including consumption tax), paid by in-app purchase in LC Studio. On app stores outside Japan it is 700 US dollars or the equivalent in the local currency set by the app store (including each country's taxes).
  4. An application whose clone creation fee has not been paid within one week of approval expires.
  5. The clone creation fee is not refunded for any reason, including the quality of the AI Clone, withdrawal or suspension of use. This does not apply where the AI Clone could not be published for reasons attributable to the Company, or where a refund is required by law. If a refund is made through an app store's procedure, the Company may revoke the right to create the AI Clone.
  6. The Company is not obliged to disclose the reasons for the result of a review.

Article 5 (Identity Verification)

  1. The Company may not carry out strict identity verification at the time of application, but may, where necessary, ask for verification through official social media accounts or the like.
  2. If the Company determines that the Creator or the registered information is not the Principal or a person who has obtained the Principal's consent, the Company may, without prior notice, stop publishing the AI Clone, or freeze or close the account.
  3. In the case of the preceding paragraph, the Company does not pay the Earnings relating to that AI Clone and does not refund the clone creation fee.

Article 6 (Accounts)

  1. The Creator registers using an external account specified by the Company (a Google account or an Apple ID).
  2. Where several staff of an agency or the like share one account, the acts of those staff are deemed to be acts of the Creator.
  3. The Creator manages their account and devices at their own responsibility. Unless the Company acted intentionally or negligently, the Company treats operations carried out with the registered credentials as operations of the Creator.

Article 7 (Provision of Materials and Warranties)

  1. The Principal's voice is provided by uploading audio files that record only the Principal's voice and contain no background music, or by recordings of answers to LC Studio's AI interview. The required length and other standards are shown in LC Studio.
  2. Recordings of the AI interview are used to create the Voice Model and the AI Clone's persona (profile), and for nothing else.
  3. The Creator warrants the following regarding the Materials:
    1. They belong to the Principal, or every right and consent necessary for their use has been obtained;
    2. They do not infringe any third party's copyright, portrait rights, privacy or other rights;
    3. They contain no voice other than the Principal's.
  4. If the Materials or the profile contain errors or change, the Creator corrects them promptly in LC Studio.

Article 8 (License to Use the Materials for the AI Clone, Voice and Other Purposes)

  1. The Creator permits the Company, for the term of the Contract, worldwide and on a non-exclusive basis, to use the Materials to create and operate the AI Clone and the Voice Model, solely for the following purposes:
    1. Generating and providing chat, calls, voice messages, LIVE broadcasts, morning calls and images by the AI Clone in the Fan App;
    2. Followers' posts to social media and official clips, where the Creator has permitted them in LC Studio;
    3. The promotion set out in Article 17;
    4. Copying, editing and storing the Materials, processing by subcontractors, checking whether anything falls under the prohibited acts, and improving the quality of that AI Clone, to the extent necessary for the preceding items.
  2. The Company does not use the Materials, the AI Clone, the Voice Model or AI Output beyond the scope of the preceding paragraph. Without the Creator's permission, the Company does not repurpose, provide or sell them to other services or to third parties, and does not use them to train any AI model other than that AI Clone.
  3. The Contract is non-exclusive. The Creator remains free to create AI clones on other services and to use the Principal's voice, appearance and name freely.
  4. Revenue sharing for official clips will be set by the Company separately.

Article 9 (Use in New Features)

  1. At present, no feature uses the Voice Model beyond the scope of paragraph 1 of the preceding Article.
  2. If the Company in future adds general-purpose AI features, or features that use the Voice Model for purposes such as answering phone calls, the Company will update these Terms and the Privacy Policy and obtain the Creator's consent in LC Studio for each feature. Without that consent, the Company does not use the Voice Model in that feature.
  3. Even if the Creator does not give the consent in the preceding paragraph, the existing features remain available.
  4. The Creator may withdraw the consent in paragraph 2 at any time. If it is withdrawn, the Company stops using the Voice Model in that feature.
  5. Earnings for a new feature will be set when the feature is added.

Article 10 (Ownership of Rights)

  1. The rights in the Materials and in the Principal's voice, appearance and name (including portrait rights and publicity rights) belong to the Principal or the rightful holder.
  2. The rights in LC Studio, the Fan App, and the systems and software that run AI Clones belong to the Company. The Company manages the Voice Model, uses it only within the scope of Article 8, and deletes it when the Contract ends in accordance with Article 20.
  3. The rights in AI Output (only where rights arise) belong to the Company. However, the Company uses AI Output only within the scope of Article 8, paragraph 1. The Creator may use the AI Output of their own AI Clone free of charge to promote their own activities, provided they state clearly that it was generated by AI.
  4. The Company may use opinions and suggestions about the Service provided by the Creator freely and free of charge.

Article 11 (Clone Settings and Adjustments by the Company)

  1. In LC Studio, the Creator can set the persona, NG topics, relationship modes, visibility (public or limited URL), permission for Followers' social media posts and official clips, and other settings.
  2. Paid relationship modes are offered only to Followers aged 18 or over. Where the Principal is under 18, paid relationship modes cannot be set for that AI Clone.
  3. Where necessary for laws, these Terms, the Fan App's terms of use or Followers' safety, the Company may modify the Creator's settings or Materials, restrict what the AI Clone says, or suspend the AI Clone temporarily. If the Company changes the Creator's settings or content, it notifies the Creator of what was changed.

Article 12 (Showing That It Is an AI Clone)

  1. In the Fan App, the Company shows that the AI Clone is an AI and not the Principal, and puts a watermark showing AI generation on LIVE broadcast video and the like.
  2. When introducing the AI Clone on social media or elsewhere, the Creator must state clearly that it is an AI, and must not present the AI Clone's statements as if they were the Principal's own.

Article 13 (Handling of Follower Information)

  1. In LC Studio, the Creator can view at any time the following about Followers who follow their AI Clone: display name, username and profile image; the date and status of the follow; chat content; the dates, times and durations of calls and transcripts of the conversations; comments, gifts and viewing records in LIVE broadcasts; relationship, nickname and memory settings; posts to Grow; and coin consumption (together, "Follower Information").
  2. Follower Information may be viewed only to interact with Followers and to improve the AI Clone. LC Studio has no feature for downloading Follower Information. The Company records the date, time and subject of each viewing of Follower Information.
  3. The Creator must not do any of the following with Follower Information:
    1. Disclose it to third parties or publish it on social media or elsewhere (including publishing screenshots);
    2. Use it for purposes other than those in the preceding paragraph;
    3. Contact Followers outside the Service, or seek contact with them.
  4. Where staff of an agency or the like view Follower Information, the Creator makes sure the staff comply with the obligations in this Article.
  5. If a Follower stops following, Follower Information about that Follower is no longer provided from then on.
  6. When the Contract ends, the Creator can no longer view Follower Information.

Article 14 (Calculation of Earnings)

  1. For each month, from the 1st to the last day in Japan time, the Company calculates Earnings from the following, consumed by Followers to use the Creator's AI Clone (chat, calls, voice messages, images, LIVE broadcasts, gifts, morning calls and others) ("Eligible Consumption"):
    1. Paid Coins;
    2. LIVE Tickets granted as a subscription benefit.
  2. Free Coins, LIVE Tickets granted free of charge through campaigns or otherwise, and expired coins and LIVE Tickets are not eligible for Earnings.
  3. The value of one Paid Coin and of one LIVE Ticket differs according to whether it came from a coin pack or a subscription and according to the purchase price and currency, so it is calculated each month. The value is calculated from the amount paid by Followers less app store fees, consumption tax and the like. Each month's values, their breakdown and the details of the calculation are shown in LC Studio.
  4. Earnings are 50% of the total of each month's Eligible Consumption multiplied by the values in the preceding paragraph. The Company applies the remaining 50% to system usage fees, server costs, personnel costs and the other costs of operating the Service, and the Creator agrees to this.
  5. Currencies are converted at each month's average exchange rate set by the Company.
  6. Amounts corresponding to purchases cancelled because of refunds to Followers, payment cancellations, cancellations by minors or otherwise are deducted from Earnings. If this comes to light after Earnings have been paid, it is deducted from later Earnings.
  7. Amounts arising from the acts in Article 18, item 6 or from other improper methods are not eligible for Earnings. The Company may withhold Earnings under investigation, and may require repayment of amounts already paid.
  8. The amount of Earnings varies with Followers' usage, and the Company does not guarantee any particular amount.

Article 15 (Confirmation and Payment of Earnings)

  1. Each month's Earnings are confirmed during the following month and shown in LC Studio as an earnings balance.
  2. Once the earnings balance reaches the minimum withdrawal amount (1,000 US dollars; 150,000 yen when received in Japanese yen), the Creator can apply for a withdrawal in LC Studio.
  3. The Company pays the Earnings to the payout destination registered by the Creator by the last day of the month following the month in which it received the withdrawal application.
  4. The Company bears remittance and transfer fees. This does not apply to fees charged to the Creator by the receiving financial institution.
  5. Payment methods, the types of payout destination and the registration information required follow the latest information shown in LC Studio.
  6. The Company is not responsible if a payment cannot be made because of an error in the payout destination registered by the Creator.
  7. The earnings balance represents the right to request payment of Earnings from the Company. It cannot be used within the Service, transferred to a third party or pledged as security.

Article 16 (Taxes)

  1. The Company may withhold income tax and the like from Earnings in accordance with laws.
  2. The amount of Earnings calculated under Article 14 includes consumption tax and the like.
  3. The Company may ask the Creator to submit their qualified invoice issuer registration number, My Number (individual number) and other information and documents necessary for tax procedures. If information or documents other than My Number are not submitted, the Company may withhold payment of Earnings.
  4. The Creator files their own tax returns relating to Earnings at their own responsibility.

Article 17 (Use in Promotion)

  1. To promote the Service, the Company may use the Principal's name or stage name, username and profile photo, the AI Clone's speech and voice, and parts of LIVE broadcasts in app store screenshots, advertisements, the Company's official social media and official clips.
  2. After the Contract ends, the Company does not use the materials in the preceding paragraph for new promotions. Promotional materials published before the end are replaced or removed promptly after it, but may remain published for the time needed for app store review and other procedures (up to 60 days from the end).

Article 18 (Prohibited Acts)

When using LC Studio and the Fan App, the Creator must not:

  1. Violate laws or public order and morals;
  2. Register by impersonating another person, or provide another person's Materials without authority;
  3. Provide Materials that infringe third parties' rights;
  4. Ask Followers to contact or trade with them outside the Service, or demand money or other benefits;
  5. Handle Follower Information in breach of Article 13;
  6. Improperly increase Earnings by buying or consuming Paid Coins themselves or through related persons, or by other methods;
  7. Provide settings or Materials intended to make the AI Clone say illegal, harmful or sexually explicit things;
  8. Falsely present the AI Clone's statements as the Principal's own, or hide the indication that it is an AI;
  9. Approach minor Followers inappropriately;
  10. Do anything prohibited by the Fan App's terms of use;
  11. Place an excessive load on the Company's servers or network, or otherwise interfere with the operation of the Service;
  12. Provide benefits to anti-social forces;
  13. Do anything else the Company reasonably determines to be inappropriate.

Article 19 (Suspension of Use, etc.)

  1. If the Creator breaches these Terms, falls under Article 5, paragraph 2, or receives a third party's claim of rights infringement concerning the Materials, the Company may, without prior notice, stop publishing the AI Clone, restrict features, withhold Earnings, or freeze or close the account.
  2. If the account is closed by a measure in the preceding paragraph, the Company does not pay the Earnings related to the breach or misconduct, and may deduct the damage incurred by the Company from unpaid Earnings.

Article 20 (Termination of the Contract)

  1. The Creator may withdraw and end the Contract at any time through the procedure in LC Studio.
  2. The Company may end the Contract by notifying the Creator at least 30 days in advance.
  3. When the Contract ends, the Company does the following:
    1. It promptly stops publishing the AI Clone and notifies Followers;
    2. It deletes the Voice Model, the persona and other AI Clone settings, and the Materials within 30 days of the end, except records required by law or needed to deal with disputes;
    3. The Creator can no longer view Follower Information;
    4. The clone creation fee is not refunded.
  4. Notwithstanding Article 15, paragraph 2, if the earnings balance at the end of the Contract is 5,000 yen (35 US dollars when received in US dollars) or more, the Company pays it through its prescribed procedure by the last day of the month following the month in which the Contract ended. An earnings balance under 5,000 yen (35 US dollars) is not paid. The Company shows the amount of the earnings balance that will not be paid on the withdrawal screen. However, if the Contract ends for the Company's own reasons under paragraph 2 or Article 21, paragraph 2, the full earnings balance is paid whatever the amount.
  5. Clips and the like posted on social media by Followers or third parties before the Contract ended are outside the Company's control, and the Company has no obligation to delete them.
  6. The history of exchanges with Followers is handled in accordance with the Fan App's terms of use and privacy policy.

Article 21 (Changes to and Termination of the Service)

  1. The Company may temporarily suspend all or part of LC Studio or the Fan App because of maintenance, failures, natural disasters or other unavoidable reasons.
  2. If the Company ends the entire Service, it notifies Creators at least 30 days before the end date. In that case, the Company pays the full earnings balance regardless of the minimum withdrawal amount.

Article 22 (The Company's Liability)

  1. If the Creator suffers damage because of the Company's non-performance of obligations or tort, the Company compensates it in accordance with this Article.
  2. Except where the Company acted intentionally or with gross negligence, the damage the Company compensates is limited to ordinary, direct damage, up to the largest of: the Earnings the Company paid the Creator in the 12 months before the day the cause of the damage arose; the clone creation fee the Creator paid the Company; and 100,000 yen.
  3. The Company does not guarantee that the AI Clone's statements are accurate or complete. The Creator bears no liability to the Company for statements of the AI Clone that do not arise from Materials or settings provided by the Creator.

Article 23 (The Creator's Liability)

If the Company receives a claim from a third party or suffers damage because the Creator breached these Terms or the Materials infringed a third party's rights, the Creator cooperates in resolving it and compensates the Company for the damage incurred (including reasonable attorneys' fees).

Article 24 (Exclusion of Anti-Social Forces)

The Creator represents and warrants that neither the Creator nor the Principal is, or will in future be, an organised crime group or other anti-social force. If this is breached, the Company may terminate the Contract immediately.

Article 25 (Notices and Communications)

Notices from the Company to the Creator are given by display in LC Studio, by push notification, or by e-mail to the registered address.

Article 26 (Changes to these Terms)

  1. The Company may change these Terms under Article 548-4 of the Civil Code in either of the following cases:
    1. The change conforms to the general interest of Creators;
    2. The change does not run counter to the purpose of the Contract and is reasonable in light of the need for the change, the appropriateness of the changed content and other circumstances.
  2. The Company announces the changed content and its effective date in LC Studio at least 14 days before the effective date. However, if the Earnings rate or calculation method is changed to the Creator's disadvantage, the Company notifies each Creator individually at least 30 days before the effective date.
  3. A change that would use the Voice Model beyond the scope of Article 8, paragraph 1 is made only after obtaining the Creator's consent again in accordance with Article 9.

Article 27 (Transfer of Contractual Position)

If the Company transfers the business relating to the Service to a third party, it may have that third party succeed to its contractual position, rights and obligations under the Contract and to the Creator's information. The Creator agrees to this in advance.

Article 28 (Severability)

Even if part of these Terms is held invalid by law, the remaining parts remain in effect.

Article 29 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute between the Company and the Creator concerning the Service is subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

Article 30 (Language)

The Japanese version of these Terms is the original. If a translation into English or another language differs in content, the Japanese version prevails.
